KEY DUTIES AND RESPONSIBILITIES
• Commercial contract negotiation, drafting, review, management and supporting various functions in the business;
• Management of litigation for and against the company including stewardship of external counsel;
• Providing appropriate advice, legal and business support to business team leaders;
• Advising on employment/employee related matters and management of internal disputes between employees and the company;
• Providing or co-coordinating the secretarial services to the various Boards of Directors, including preparation for Board and Board Committee meetings and issue of Agenda; drafting of minutes, reports and resolutions; drawing and filing Statutory Returns and implementing Board directives for the group;
• Providing leadership in Corporate Governance;
• Dealing with correspondence and writing reports, ensuring decisions made are communicated to the relevant stakeholders;
• Monitoring changes in relevant legal and regulatory environment, and taking appropriate action including overseeing the systems/processes that ensure the Group complies with all applicable codes;
• Liaising with external regulatory bodies and advisors such as lawyers and auditors;
• Any other duties assigned by the CEO and/or Group Company Secretary.

QUALIFICATIONS / SKILLS
• A Ugandan citizen.
• Bachelor’s Degree in Law (LLB) from a reputable university;
• Advocate and member of the Uganda Law Society holding a valid practicing certificate;
• At least 3 years post admission experience in a reputable organization with a strong commercial law focus and a good appreciation of corporate law;
• A good working knowledge of company law;
• Certified Secretary (CS) and/or experience in company secretarial practice will be an added advantage;
• Attention to detail and strong organizational and planning skills;
• Strong analytical and problem-solving skills;
• Computer literate with good proficiency in MS Word.
• High personal integrity;
• Good negotiation and leadership skills;
• Good communication, presentation and interpersonal skills;
• Strong commercial focus
