Position:   Governance Officer Reports to:   Governance Manager No of vacancies:   Two (02) Duty Station: Head Office.
Job purpose

The Role holder will provide essential governance support to shareholders, the Board, Board Committees, and Executive Management to ensure the Bank meets its business goals through strong corporate governance practices.

Key Result Areas
A. Board and Committee Coordination •Support the Governance Manager in coordinating Shareholders’, Board and Board Committee meetings in accordance with the approved governance calendar under the direction of the governance manager. •Coordinate meeting notices, attendance confirmations, agendas, Board papers and other meeting materials. •Monitor submission of Board and Committee papers and follow up with responsible departments to ensure timely submission. •Support the preparation and circulation of Shareholder, Board and Committee packs in accordance with approved timelines. •Attend Board Committee meetings as required and provide governance and administrative support. •Maintain accurate records of Board and Committee attendance. B. Minutes, Resolutions and Action Tracking •Prepare accurate and timely draft minutes capturing key deliberations, decisions, resolutions and action points. •Maintain registers of Shareholders’, Board and Committee resolutions and outstanding actions. •Follow up with responsible officers on implementation of Board and Committee decisions. •Prepare action status reports for review by the Governance Manager and Company Secretary. •Support preparation, circulation and filing of shareholders’, Board and Committee resolutions. •Ensure approved minutes and resolutions are properly signed, indexed, and securely maintained. C. Governance Records and Statutory Support •Maintain accurate, complete and secure Shareholders’, Board, Committee and corporate governance records. •Support maintenance and updating of statutory registers and corporate records. •Maintain records relating to Board and Committee composition, appointments, tenure, declarations of interest and related governance matters. •Support the Company Secretary in statutory filings, regulatory submissions and other company secretarial obligations. •Ensure appropriate document version control, retention and access to confidential governance information. •Support digitization and electronic Management of governance records. D. Governance Compliance Monitoring •Support monitoring of compliance with the Bank’s governance policies including but not limited to, the Bank’s Memorandum of Association, Articles of Association, Directors Code of Conduct, Director’s Conflict of Interest Policy, Shareholders’ agreement policies, procedures, Board Charter, Board Committee Terms of Reference and other governance instruments •Maintain governance compliance checklists and registers. •Support periodic reviews and updates of governance policies and governance instruments. •Monitor assigned governance obligations and escalate potential gaps to the Governance Manager. •Support tracking of recommendations arising from regulatory reviews, audits, Board evaluations and other governance assessments. E. Board Planning and Reporting •Support the maintenance of the annual Board and Committee calendar and work plans. •Assist in preparing governance dashboards, reports and Executive Management information. •Support Board and Committee effectiveness evaluation processes. •Assist with Board and Director induction, training and continuing capacity development activities. •Maintain information required for governance reporting and Board effectiveness assessments. F. Stakeholder Coordination •Coordinate routine governance communication between the Company Secretariat, Shareholders, Board Members, Committee Members and Executive Management. •Liaise with departments to obtain papers, reports, action updates and other information required for Board and Committee activities. •Provide professional and responsive administrative support to Directors and Executive Management. •Maintain strict confidentiality and professionalism in all governance-related engagements. G. Process Improvement •Identify opportunities to improve the efficiency, accuracy and effectiveness of governance processes. •Support implementation and use of electronic Board Management, records Management and governance reporting systems. •Maintain awareness of emerging governance practices and contribute to governance improvement initiatives. •Support the Governance Manager in implementing governance projects and process enhancements. •Perform any other duties reasonably assigned by the Governance Manager or Company Secretary that are consistent with the purpose and level of the role.
Qualifications & Experience
•Bachelor’s degree in Law, or a related field, with the candidate being an Enrolled Advocate of the High Court of Uganda. •Professional training or qualification in Corporate Governance or Company Secretarial Practice is an added advantage. •Active Membership of a relevant professional body is desirable. •2–3 years of progressive experience in corporate governance, company secretarial, legal or a related function. •Practical experience in Board and Board Committee coordination, minute-taking, preparation of resolutions and action tracking. •Experience in maintaining governance records, statutory registers and corporate records. •Experience supporting statutory filings and governance compliance activities.
Knowledge and Skills
•Corporate Law and Governance: Deep knowledge of national banking laws, company acts, and regulatory guidelines. •Regulatory Compliance: Ability to ensure the Bank is compliant with regulatory and statutory requirements. •Board Administration: Skill in organizing board meetings, drafting accurate minutes, and managing statutory registers. •Risk Management: Understanding of operational and legal risks tied to banking decisions and corporate actions. •Financial Acumen: Capacity to read financial statements, annual reports, and audit findings. •Communication: Clear verbal and written skills •Discretion and Integrity: High ethical standards to handle confidential financial and strategic data. •Attention to Detail: Precision in drafting legal documents, resolutions, and compliance filings. •High Levels of Emotional Intelligence
